As part of SCOR SE’s (“SCOR”) public offer for Converium Holding AG’s (“Converium”) publicly held shares (“the Offer”), which opened on June 12, 2007 and closed on July 9, 2007, with an additional acceptance period from July 13, 2007 to July 26, 2007, 92,969,353 Converium shares have been tendered to the Offer.
As part of the settlement and delivery of the Offer, in accordance with the conditions set forth in the Offer prospectus published on April 5, 2007, as amended on June 12, 2007, SCOR will today issue 46,484,676 new shares (“New Shares”), at a unit price of EUR 18.79, comprising EUR 10.9130277 of issue premium and EUR 7.8769723 of nominal value, giving a global capital increase amount (including the issue premium) of EUR 873,447,062.04. Consequently, SCOR’s share capital will rise from EUR 1,073,176,964.97 to EUR 1,439,335,470.20, composed of 182,726,994 shares with a nominal value of EUR 7.8769723 each.
The New Shares will be delivered and listed on the Euronext Eurolist (segment A) and on the foreign segment of the SWX Swiss Exchange today.
The capital increase is set out in an Offer prospectus, which received visa n° 07-115 from the Autorité des marches financiers on April 10, 2007. This Offer prospectus is completed by two additional notes awarded visa numbers 07-131 and 07-183 on April 23, 2007 and June 12, 2007 respectively.
